Who we are and why we're doing this
Māhanga means twins
Māhanga Technologies is founded by twin brothers Bruce and Bryan. Every product we build started as a problem we lived through ourselves. Rather than put up with it, we built the answer, and then built it properly so it could help other people in the same position.
Our aim is to build and grow a company whose applications make a real difference in people's daily lives. The apps are the vehicle: the revenue they earn is what allows the company to develop further, diversify into new lines of business, and reach a financial position where we can do what we're actually here to do:
- Support people in need, and the communities and organisations that serve them
- Help fund other people's dreams and ideas through foundations and scholarships
- Build alliances with people who share the same purpose and vision

- Doctor's Journal — records your medical visits and keeps your whole medical life in one place, in your own language
- Certo — compliance forms for New Zealand electricians, inspectors and the companies they work with
- PhotoVault — a family's memories, kept, organised and shared properly
- TrampSafe — Bryan's app for trampers, hunters and cyclists: precise navigation, hut to hut, day after day
- Dive Central — plan the dive, dive the plan, and your family knows you're home safe
- StillWater — Bryan's Bible app
- Te reo Māori app — learning to speak Māori, in development
- Skye — our own ecosystem: messaging, calls, calendar, notes and family lists, run by voice through your own AI companion, outside Google and Apple, with your data staying yours

- Drive growth across every product the company builds, and whatever comes next
- Bring forward new revenue opportunities as you see them
Partnerships
- Build the partnerships that share our purpose and take these products to the people who need them — Māori and iwi health providers, councils, lines and trade companies, property managers and Kāinga Ora, with the full target list on the second page
- Papa Reo matters most
- Te Hiku Media is the iwi-led team in Kaitāia behind the most accurate te reo Māori speech recognition in the world
- Their values are ours: people's data belongs to them and is used only for their benefit
- That fit makes them a natural partner for Skye, Doctor's Journal and the te reo app

- Contracted to the company, not employed by it
- Shareholder, not a director — the directors are Bruce and Bryan

Example
- The company banks $12,000 in a month
- 5% of the first $10,000 = $500
- 4% of the next $2,000 = $80

How it works
- Calculated on money actually received, not projections
- Paid monthly, once the month's revenue is in
- Rewards dollars, not seat counts — a $300 PhotoVault sale counts for more than a $6 Certo subscription
- Continues for as long as you're in the role, and does not stop when your shares vest
- Your dollars always rise as revenue grows; only the rate on the top band steps down
- The early months are where your percentage is highest — that's deliberate, because that's where the work is hardest
Retainer
$500 a month, paid on top of commission, for as long as you're in the role
- $500 a month — it never steps up and it never stops
- In a month where the company can't afford the full $500, you get half of what's left after the company's running costs, and the company keeps the other half
- Running costs are only the direct costs of keeping the apps live — AI and cloud services, hosting, and app store and domain fees. Nothing else
- Once revenue covers it, the full $500 is paid every month
- Paid on top of commission, not instead of it
- Not a salary
Example
- The company banks $1,000 in a month and running costs are $100
- $900 is left, so you get $450 and the company keeps $450
- Once the company is banking more than about $1,200 a month, the full $500 is paid and commission runs on top of it
Neither of us gets paid unless the other does. There's no deadline on this — if it takes a while to get there, the split simply keeps running.
Shares
A 2% share of the company, gifted in recognition of what you'll bring to it
- 2% non-voting shares, subject to Bryan's approval as co-director
- Bruce and Bryan hold the other 98% and run the company
- Given for your contribution — you pay nothing for them
- Granted now, while the company is worth very little, so any tax on the grant stays small
How they're earned
- Earned over three years, one third each year
- 12-month cliff: nothing is yours until you've been in the role 12 months
- At month 12 the first third lands
- After that the rest builds up month by month
If you leave
- You keep what you've earned to that point
- Anything not yet earned goes back to the company
- The company may buy back your earned shares at a fair value, so ownership stays inside the business
Example
- Leave at month 13: you hold roughly 0.68% of the company
- Stay three years: you hold the full 2%
Start-up loan
If you put money in to get things off the ground, it's a loan, not a share purchase — your 2% stays clean
- Drawdown facility of up to $10,000
- Advance money when it's needed, in whatever amounts suit
- Each advance is dated and recorded
- Interest at 8% a year on the outstanding balance, from the date of each advance
- Maximum term of 12 months
- The company may repay any amount at any time with no penalty — the aim is to clear it early
- You declare the interest as income
Summary of terms

Agreement
This proposal takes effect once signed by all three parties below and the company is registered. The share grant will be reviewed by the company's accountant before shares are issued.
Our intention is that as revenue supports it, these contract roles become salaried positions with the company. When that point comes, whether you move across full time will be your choice.

Doctor's Journal — ready for launch
- Started because Bruce kept forgetting appointments and what the doctor had said
- Records the consultation, transcribes it, and returns a plain-English summary, the doctor's notes and your reminders
- Medications with reminders, blood tests explained in plain English, appointment letters turned into calendar entries, documents, symptoms, journaling and every provider you see
- Already in eight languages including te reo Māori, Samoan, Tongan and Fijian, with more easy to add

Certo — ready for launch
- Bruce is an electrician with thirty years in the trade and wanted to build something for it
- One of the sparkies asked for an app to handle the paperwork, and Certo grew from there
- Certificates of compliance and the forms electricians, inspectors and companies deal with every day
PhotoVault
- Started as somewhere to keep our own memories, then built for every family to do the same
- Recognises faces, objects, places, dates and seasons, and organises everything into albums, collections, spaces and tags
- Send one link after a wedding or birthday and everyone's photos come back into one shared album; family newsletters work the same way
- Resurfaces memories the way the big tech companies do, done better, and built for families
TrampSafe — close to release
- Bryan's app for trampers, hunters and cyclists

- If you're not back inside your dive time plus a safety buffer, they're alerted; when you close the dive off, they get the home-safe message
